EverKind Independent Contractor Agreement
This Independent Contractor Agreement (“Agreement”) is entered into between EverKind Senior Solutions, LLC (“Company”) and the undersigned Independent Contractor, also referred to as an EverKind Senior Living Advisor (“Contractor”).
1. Independent Contractor Relationship
Contractor is an independent contractor and not an employee, partner, or agent of Company. Nothing in this Agreement shall be construed to create an employer-employee relationship.
2. Scope of Services
Contractor shall provide senior living placement support services, including communication with clients, appointment coordination, community tours, and follow-through consistent with Company standards.
3. Compensation
Compensation shall be governed by Exhibit A (Advisor Compensation Schedule), attached
hereto and incorporated by reference. Company may modify Exhibit A with thirty (30) days
written notice.
4. Term and Termination
This Agreement shall commence on the Effective Date and shall continue unless and until
terminated by either party. Either party may terminate this Agreement at any time, with or without cause, by providing written notice via email. Termination shall not affect compensation owed for any placements initiated prior to termination; all such placements shall continue to be compensated in accordance with Exhibit A as EverKind receives payment.
5. Confidentiality
Contractor acknowledges that, in the course of providing services, Contractor will receive
access to confidential, proprietary, and sensitive information, including but not limited to client
identities, medical and cognitive information, care needs, financial and budget information,
family dynamics, intake forms, notes, community pricing, referral relationships, and Company
business practices (“Confidential Information”). Contractor agrees to maintain the strict
confidentiality of all Confidential Information and to use such information solely for the
purpose of performing services under this Agreement. These obligations shall survive
termination of this Agreement.
6. Non-Circumvention
Contractor shall not circumvent Company to redirect clients or communities for personal
benefit.
7. Indemnification
Contractor agrees to indemnify and hold harmless Company from claims arising from
Contractor’s acts or omissions.
8. Governing Law
This Agreement shall be governed by the laws of the State of Arizona.
